Central Bank (Bacen) issues new rules on sustainable securities in foreign credit operations and the reporting of Brazilian capital abroad
The Central Bank, through Resolution BCB No. 492/2025, has revised the regulations regarding external credit operations and the disclosure of information about Brazilian capital abroad, highlighting the inclusion of sustainable securities in these two processes. The new rules will come into effect on October 1, 2025.
With this new regulation, Bacen establishes four types of sustainable securities, which are debt instruments aimed at financing projects that promote environmental and social benefits. These are:
Green Securities |
These are securities whose resources are intended for the financing or refinancing of environmental projects |
Social Securities |
Resources aimed at activities and projects that bring social benefits |
Sustainability Securities |
The use of the raised resources is restricted to financing or refinancing activities or projects that generate social and environmental benefits |
Sustainability-Linked Securities |
Securities with free allocation of resources, but with the issuer's commitment to achieve previously established sustainability goals |
Foreign credit operations and Brazilian capital abroad
The Central Bank also made changes regarding foreign credit operations and Brazilian capital abroad.
Here are the main modifications:
- Sustainability Securities Registration: Sustainable securities issued by non-residents for private placement in the domestic market must be registered with the Central Bank (Bacen) whenever the value of the external credit operation is equal to or greater than US$1,000,000.00 or its equivalent in other currencies.
- Declarations of Capital Abroad: Individuals or legal entities holding assets abroad, including sustainable securities issued by non-residents, will be required to declare these assets in accordance with the limits of the Brazilian Declaration of Capital Abroad (CBE). This includes:
Annual CBE |
For assets exceeding US$1,000,000.00 on December 31 of each base year |
Quarterly CBE |
For assets exceeding US$100,000,000.00 on March 31, June 30, and September 30 of each base year |
Failure to file these returns may result in significant fines ranging from R$2,500.00 to R$250,000.00, which may be increased by 50% depending on the situation.
